DCRA BRA-25 Biennial Reports Are Due
Sometimes new DC clients come to me panicking about their biennial reports. I say new DC clients because my own clients do not run into this problem—not if I’m doing my job correctly. By the way, if you are a DC client of mine, check in with me at least once a year to make sure all of your ducks are in a row.
I “get” the panic. But for those of you who don’t, it’s because the filing fees for the biennial reports are expensive. It’s $300.00 compared to the $9.00 a NY LLC would pay to New York State. The biennial report is not difficult to file. This is a report that I don’t mind if clients file themselves or if they pay their registered agent to file on their behalf.
So why do you need a lawyer? What is a lawyer’s value add?
Besides convenience, I also diagnose problems. (I seem to use a lot of medical analogies, but they work well in illustrating my point.) Sometimes patients go to the doctor because they think they have the common cold, but the doctor may find out they’ve contracted a deadly virus. One of my clients came in with a lapsed business report, and even though I helped them get the business into good standing, everyone had missed an equally important issue. Their LLC registration was entirely invalid because there was a mistake in the business name. No one else would have caught this issue except for an attorney.
This was a simple problem requiring a simple solution, but it is a good example of the value add that an attorney can bring to the table. We find the missing keys. We fix problems that you didn’t even know were there.
If you have a registered business in DC, biennial reports are due April 1st. First reports are due April 1st of the very next year from the year of registration. Subsequent reports are due April 1st every two years thereafter.
